Terms of Service

1. Acceptance of Terms

NinjaChat.ai (the "service") is operated by Helium Technologies, Inc. ("NinjaChat", "we", "us", or "our"). By accessing or using the service, you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, you may not use the service. These terms form a legally binding agreement between you and Helium Technologies, Inc.

You must be at least 13 years old and able to form a binding contract to use the service. If you use the service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

2. Description of Service

Ninjachat.ai provides access to multiple AI tools, including AI chat across many models, image and video generation, document and data analysis, code execution, website and app building, ninja, a texting companion, and integrations and automations that connect to third-party services you authorize. We reserve the right to modify, suspend, or discontinue any part of the service at any time without prior notice, and are not liable for any such changes.

3. AI Model Transparency

NinjaChat provides access to AI models from third-party providers via their commercial APIs — including GPT (OpenAI), Claude (Anthropic), Gemini (Google), Llama (Meta), and models from Mistral, DeepSeek, xAI, Groq, Together AI, OpenRouter, Perplexity, and others. We are explicit about what this means:

• These models are owned and operated by their respective providers. We have no control over their training, functionality, or outputs.
• We access them through official API integrations and do not modify the base models.
• Response quality, accuracy, and availability depend entirely on the provider.
• We are not responsible for errors, biases, or inappropriate outputs generated by third-party models.
• Provider updates or discontinuations may affect our service.

AI outputs may be inaccurate or incomplete and are not a substitute for professional legal, medical, financial, or other advice. Verify important information independently before relying on it. We will notify users of significant changes to the models we offer.

4. User Accounts and Authentication

Accounts are created via Google, Discord, or Apple sign-in, an email one-time passcode, or — for our text companion — phone verification. By signing up, you agree to provide accurate, current information and to keep it up to date. You are solely responsible for all activity under your account. Notify us immediately at team@ninjachat.ai if you suspect unauthorized access.

5. Privacy and Data Usage

Your use of NinjaChat is governed by our Privacy Policy, incorporated into these Terms by reference. By using the service, you consent to the data practices described there. All data and chats are encrypted at rest and in transit.

By using our AI features, you acknowledge and agree that the content of your interactions may be processed, stored, and used by us and our AI providers to operate, improve, and train the AI models that power the service, as described in our Privacy Policy. This does not include data we access from your connected third-party accounts, which we do not use to train AI models.

6. Connected Integrations and Automations

When you connect a third-party account, you authorize NinjaChat to access and act on that account as needed to perform the tasks you request. You are responsible for your use of integrations and automations and for complying with each connected service's terms. You can revoke access at any time from your settings.

Automations run on your behalf and at your direction. You are responsible for the actions they take and the outputs they produce, and for ensuring you have the necessary rights and permissions for any data or accounts they touch.

7. Messaging and Notifications

If you use our text companion, you consent to receive messages from NinjaChat at the number you provide, including automated messages and follow-ups related to the features and automations you set up. Message and data rates may apply, and message frequency varies. Reply STOP to opt out or HELP for help.

You are responsible for using the text companion and any automations in compliance with applicable laws, including not sending unsolicited, harassing, or unlawful messages to others.

8. Payments and Billing

Web payments are processed by Stripe, and in-app purchases on iOS are processed through the Apple App Store (via Superwall). By providing payment information, you authorize NinjaChat.ai to charge your payment method for all fees incurred. You agree to keep billing information current.

Credits and Usage

Certain features consume usage credits. Credits have no cash value, are non-transferable, and may expire or reset according to your plan.

Subscription Cancellation

Cancel anytime at ninjachat.ai/settings. Cancellation stops future renewals but does not entitle you to a refund for charges already incurred.

Free Trials

Cancel before the trial period ends to avoid being charged. If you do not cancel in time, your subscription converts to a paid plan at the then-current rate.

Refund Policy

• Yearly subscriptions are non-refundable once billed, except where a verified platform malfunction prevented cancellation. Such refunds are issued at NinjaChat.ai's sole discretion after review.
• Monthly subscriptions may be refunded if a request is submitted promptly and the issue is determined to be caused by a technical error or service malfunction. Refund decisions are at NinjaChat.ai's discretion.

For billing help, email team@ninjachat.ai. Approved refunds are returned to the original payment method.

9. Intellectual Property

Subject to your compliance with these Terms and applicable provider terms, you retain rights to the content you create with the service, and you are responsible for ensuring you have the rights to any content you submit. The NinjaChat.ai brand, software, features, and functionality are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our materials without our written permission.

If you believe content on NinjaChat infringes your copyright, email team@ninjachat.ai with details and we will respond in accordance with applicable law.

10. Limitation of Liability

NinjaChat.ai and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability for all claims is limited to the amount you paid us, if any. Some jurisdictions do not allow these limitations, so they may not apply to you.

11. User Content and Conduct

You are solely responsible for content you submit or create using our AI tools, and for any actions taken through integrations and automations you set up. You agree not to use the service for any unlawful purpose or in violation of these terms.

Prohibited conduct includes:

• Transmitting content that is defamatory, obscene, threatening, invasive of privacy, or infringing on intellectual property rights
• Requesting or generating sexually explicit content, or any sexual content involving minors, in chat, images, video, or through the API
• Sending spam or unsolicited messages through the text companion, integrations, or automations
• Attempting to access accounts or data you are not authorized to access
• Using integrations or automations in a way that violates a connected service's terms
• Automated, high-volume, or abusive use that degrades the service for others

We reserve the right to remove violating content without notice and to terminate accounts for repeated or serious violations.

12. Changes to Terms

We may modify these Terms at any time. Significant changes will be announced on our website or by email. Continued use of the service after changes are posted constitutes acceptance of the new terms.

13. Termination

We may terminate or suspend your account immediately, without notice, for any reason including a breach of these Terms. Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination — including ownership, warranties, indemnity, and liability limitations — will remain in effect.

14. Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict of law provisions. Our failure to enforce any right or provision is not a waiver of that right.

15. Disclaimer of Warranties

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind — express or implied — including merchantability, fitness for a particular purpose, and non-infringement.

16. Indemnification

You agree to defend, indemnify, and hold harmless NinjaChat.ai and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorney's fees) arising from your use of the service or breach of these Terms.

17. Dispute Resolution & Arbitration

Please read this section carefully — it affects your legal rights, including a waiver of class actions and jury trials.

Informal resolution first. Before filing any claim, you agree to first contact us at team@ninjachat.ai and give us 30 days to resolve the issue informally. Most concerns can be resolved this way.

Binding arbitration. If we cannot resolve a dispute informally, you and Helium Technologies, Inc. agree to resolve it through final and binding individual arbitration, administered by a recognized arbitration provider (such as the American Arbitration Association) under its consumer arbitration rules, rather than in court. As exceptions, either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property.

Class action and jury waiver. Disputes will be resolved only on an individual basis. You and Helium Technologies, Inc. waive any right to bring or participate in a class, collective, or representative action, and waive any right to a jury trial.

Your right to opt out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing team@ninjachat.aiwith your account email and the words "arbitration opt-out." Opting out will not affect any other part of these Terms.

If any part of this section is found unenforceable, the remainder stays in effect — except that if the class action waiver is found unenforceable, this entire arbitration section will not apply.
